Licence Terms
Version 1.0 — effective 23 September 2026. You agree to these terms in the app the first time it runs. The same text ships inside the app.
These terms are an agreement between you and NarNar Labs LLC ("NarNar Labs", "we") for the Univocal macOS application, its companion browser extension, and the speech engine and machine-learning models they install and run (together, the "Software"). Plain-English summaries appear in places; where a summary and the full text differ, the full text controls.
1. Agreeing to these terms
You accept these terms by clicking "Agree" when the app first runs, or by using the Software after having a reasonable opportunity to read them. If you do not agree, do not use the Software; if you bought it, you may seek a refund under §13. The browser extension is free, works only with the app, and is covered by this same agreement.
You must be at least 18 years old, or the age of majority where you live if that is higher. If you are younger, you may use the Software only with the consent of a parent or legal guardian who accepts these terms on your behalf and is responsible for your use of it. The Software is not directed at children under 13.
2. Definitions
- "App" — the Univocal macOS application.
- "Extension" — the Univocal browser extension for Chromium browsers.
- "Engine" — the local speech engine the App installs on your Mac, including third-party software it downloads at setup.
- "Models" — the machine-learning models the Software uses to recognise or synthesise speech, whether bundled with the App or downloaded to your Mac at first use.
- "RAIL Models" — those Models licensed under the BigScience Open RAIL-M licence (currently the Supertonic 3 speech-synthesis model, which serves Korean and certain other languages).
- "Output" — audio, text, or other content the Software produces from your input, including synthesised speech and dictation transcripts.
- "Licence Key" — the key issued to you at purchase that unlocks the paid features of the App.
3. Your licence
Subject to these terms and your payment of the one-time purchase price, we grant you a personal, non-exclusive, non-transferable licence to install and use the Software, for any lawful purpose consistent with §6 and §7, on Mac computers that you own or control, for your own use. This is a licence, not a sale of the Software; you own the copy of nothing but your Output (§8) and your own content.
The Extension is licensed to you free of charge on the same terms.
Third-party components inside or downloaded by the Software are licensed to you by their own licensors under their own terms (§9), not by us.
4. Licence Key
Your Licence Key is activated against the payment processor's licence service, and the App occasionally re-checks it when the network is available. The check sends only the Licence Key and your Mac's name — never your content — and it fails open: an unreachable server never disables the Software. You may not sell, publish, or share your Licence Key beyond the personal scope in §3, and you may not circumvent the key check. If a key is revoked for fraud (for example a charged-back purchase), your licence under §3 ends.
5. What you may not do with the Software itself
You may not, except where the law gives you a right we cannot exclude:
- copy the App (other than for backup), or distribute, rent, sell, or sublicense it;
- modify the App or Extension or create derivative works of them;
- reverse engineer or decompile the App, except to the extent a law expressly permits it despite this term (for example for interoperability);
- remove or obscure legal notices, or use the Software to build a competing synthesised-speech dataset or model (see also §7.5);
- circumvent licence enforcement.
This section is about the Software's code. It does not limit what you read, dictate, or listen to, which is governed only by §6–§7.
6. Acceptable use
Use the Software only in compliance with applicable law. You are responsible for the content you dictate, read aloud, and produce with the Software.
7. AI speech models
Plain-English summary: some of Univocal's voices come from a model whose licence requires us to pass specific use restrictions on to you. We apply those restrictions to all of Univocal's voices, because the app chooses voices automatically and you cannot tell which one spoke. None of them stop you reading your own documents aloud to yourself — including medical or legal ones. If Univocal ever lets you export audio, machine-generated audio you share must be labelled as machine-generated.
7.1 The RAIL Models and required notice. The RAIL Models are licensed to you by their licensor under the BigScience Open RAIL-M licence, a copy of which is included with the Software at Contents/Resources/licenses/supertonic-3-OpenRAIL-M.txt inside the application bundle and is installed alongside the model files. Notice: the RAIL Models, and any derivatives of them, are and remain subject to the use-based restrictions in paragraph 5 of that licence. Nothing in these terms grants you rights in any Model beyond using it through the Software; your broader rights in the RAIL Models, if you choose to exercise them, come from the Open RAIL-M licence itself.
7.2 Scope. The restrictions in §7.4 originate in the Open RAIL-M licence and are legally required only for the RAIL Models. Because the Software selects a voice automatically and you cannot reliably tell which model produced a given piece of audio, these restrictions apply to all speech synthesis and recognition performed by the Software.
7.3 Machine-generated audio disclosure. If you place Output, or anything derived from it, in any context where a listener could reasonably take it for a recording of a human speaker, you must clearly and intelligibly disclose that it was machine-generated. Listening to audio the Software plays to you, by yourself or with others present, is not such a context and needs no disclosure.
7.4 Restricted uses. You must not use the Models, or Output produced with them:
- in any way that violates any applicable national, federal, state, local or international law or regulation;
- to exploit, harm, or attempt to exploit or harm minors in any way;
- to generate or disseminate verifiably false information or content with the purpose of harming others;
- to generate or disseminate personally identifiable information that can be used to harm an individual;
- to generate or disseminate information or content, and place it in any context, without expressly and intelligibly disclaiming that it is machine generated;
- to defame, disparage, or otherwise harass others;
- to impersonate or attempt to impersonate any person without their consent, including by producing audio intended to be taken for their voice;
- for fully automated decision-making that adversely affects an individual's legal rights or otherwise creates or modifies a binding, enforceable obligation;
- for any use intended to, or having the effect of, discriminating against or harming individuals or groups based on online or offline social behaviour or on known or predicted personal or personality characteristics;
- to exploit vulnerabilities of a specific group of persons based on their age or social, physical or mental characteristics, in order to materially distort the behaviour of a person in that group in a manner that causes or is likely to cause that person or another person physical or psychological harm;
- for any use intended to, or having the effect of, discriminating against individuals or groups on the basis of legally protected characteristics or categories;
- to provide medical advice or medical results interpretation;
- to generate or disseminate information for the purpose of use in the administration of justice, law enforcement, immigration or asylum processes, such as predicting that an individual will commit fraud or crime (for example by text profiling, drawing causal relationships between assertions made in documents, or indiscriminate and arbitrarily-targeted use).
For clarity: these restrictions concern what you use the Models to produce or accomplish. Converting a document you are entitled to read into speech for your own listening is not, by itself, a restricted use, whatever the document's subject matter — a clinician may listen to a chart, and a lawyer may listen to case papers. This clarification interprets the restrictions; it does not create an exception to them, and it does not permit anything the Open RAIL-M licence itself prohibits.
7.5 Pass-through. If you make any Model, or a work derived from one, available to any other person, you must impose the restrictions in §7.4 on that person as an enforceable term and give them notice that the RAIL Models remain subject to paragraph 5 of the Open RAIL-M licence.
7.6 Termination for misuse. Your permission to use the Models within the Software ends immediately if you breach §7.4, without affecting any other right or remedy, and the Models' licensors may enforce their licences against you directly.
7.7 No warranty for the Models. The Models are provided by their licensors on an "as is" basis, without warranties or conditions of any kind. We give no warranty as to the accuracy, intelligibility, or suitability of synthesised speech or of dictation transcripts. Do not rely on synthesised speech or transcription where a misreading or mistranscription could cause harm without checking the original text.
8. Your content and Output
Your documents, your dictation, and the audio and text the Software generates from them are yours. We claim no rights in your Output. You are responsible for your Output and any later use you make of it, including compliance with §7.3 and §7.4.
9. Third-party components and models
The Software includes and downloads third-party components listed in the Third-Party Notices file shipped with the App (THIRD-PARTY-NOTICES.md / Contents/Resources/). Each is licensed under its own terms, including: whisper.cpp (MIT), the Kokoro-82M model (Apache 2.0), the Supertonic 3 model (Open RAIL-M — see §7), OpenAI Whisper weights (MIT), and Python packages installed into a virtual environment on your Mac at first run, some of which are licensed under the GPL by their own authors. Components your Mac downloads at first run are obtained by you from their publishers, not distributed by us. Apple's system voices are provided by macOS under your agreement with Apple.
Supertone, BigScience, OpenAI, Apple and other names are the trademarks of their owners; their appearance here is factual attribution and implies no endorsement of Univocal.
10. Privacy and local processing
The Software is designed so that your content does not leave your Mac:
- Dictation audio is transcribed on your Mac, in the App's own process, and is not written to disk or transmitted.
- Text you read aloud is synthesised on your Mac; the App and Engine communicate only over local loopback.
- There are no accounts, no analytics, and no crash reporting. Licence Keys are activated and occasionally re-checked against the payment processor's licence service (§4); that check carries only the Licence Key and your Mac's name, never your content.
Two qualifications, so this claim stays honest:
- At installation and first use of some languages, the Software downloads its engine and Models from public servers (currently PyPI, Hugging Face and GitHub). Those servers see your IP address and the download request, as with any download, under their own privacy policies. Nothing about your content is sent with those requests.
- Purchases are handled by the payment processor named on the purchase page under its own privacy policy; we receive only what is needed to issue and support a Licence Key. The Extension stores its small settings in your browser's own (possibly synced) storage.
The full privacy policy is PRIVACY.md, shipped with the App. If a future version changes any of the above, the change will be stated plainly in the release notes before you install it.
11. Updates
We may provide updates but are not obliged to. Updates may change or replace Models, voices, and language routing, and are covered by these terms unless accompanied by new ones. The App checks for updates automatically; the check requests an update feed from univocalapp.com and sends nothing about your content. You can turn automatic checks off in Settings, and updates install only when you choose to. Model licensors may publish updated model versions; the Open RAIL-M licence asks users to make reasonable efforts to use the latest version of the RAIL Models.
12. Term and termination
These terms apply until terminated. Your one-time purchase entitles you to use the version you bought (and any updates we make available to it) perpetually, subject to these terms. We may terminate your licence if you materially breach these terms and, where the breach can be cured, fail to cure it within 14 days of notice; breaches of §7.4 terminate Model permissions immediately under §7.6. On termination you must stop using the Software and delete your copies. Sections 7.4–7.7, 8, 9, 10, 14, 15, and 17–19 survive termination.
13. Refunds
If you are not satisfied with the Software for any reason, contact support@univocalapp.com within 30 days of purchase and we will refund you in full. You do not need to give a reason.
Statutory refund and withdrawal rights in your country — including EU and UK digital-content rights where they apply — are in addition to this and are not affected by anything in these terms.
14. Disclaimer of warranty
The Software is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that speech recognition or synthesis will be accurate, that every document will be read correctly, or that the Software will be error-free. Some jurisdictions do not allow the exclusion of implied warranties or of statutory consumer guarantees; in those places this section applies only to the extent permitted, and nothing in these terms excludes rights that cannot lawfully be excluded. If you are a consumer in the European Union, the United Kingdom, Australia, New Zealand, or another place with statutory consumer guarantees, you keep those guarantees, including any right to a remedy when digital content is faulty or not as described, and this section and §15 do not limit them.
15. Limitation of liability
To the maximum extent permitted by law: (a) neither we nor the Models' licensors are liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from these terms or the Software; and (b) our total liability for all claims relating to the Software is limited to the amount you paid for it. Nothing in this section limits liability that cannot lawfully be limited (such as liability for fraud, or for death or personal injury caused by negligence, where applicable law so provides).
16. Export control
You may not use or export the Software in violation of applicable export control and sanctions laws, including those of the United States.
17. Severability; required restrictions
If any provision of these terms is held invalid or unenforceable, the rest remains in effect. If any restriction in §7.4 is held unenforceable, it shall be replaced by the narrowest enforceable provision that most closely achieves its purpose, because those restrictions are required by the Open RAIL-M licence and cannot simply be dropped.
18. Assignment; entire agreement; changes
You may not assign these terms; we may assign them to a successor of the Univocal product who assumes our obligations. These terms, together with the documents they reference (the privacy policy, third-party notices, and the Open RAIL-M licence), are the entire agreement about the Software. We may revise these terms for future versions of the Software; a revision applies to you only when you install a version that ships with it.
19. Governing law and disputes
These terms are governed by the laws of the State of Pennsylvania, excluding its conflict-of-laws rules, and disputes shall be brought in the courts located in Lehigh County, Pennsylvania (or the United States District Court for the Eastern District of Pennsylvania, where it has jurisdiction).
If you are a consumer in a jurisdiction whose law gives you the right to bring proceedings locally, or grants you mandatory consumer protections, that right is not affected by this section.
